Terms of Service

1. Acceptance of Terms

By accessing or using the RevoluteHR platform ("Service"), operated by RevoluteHR LLC, a Texas limited liability company, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all users, including administrators, employees, and any other individuals accessing the platform.

2. Description of Service

RevoluteHR provides a cloud-based human resources management platform that includes, but is not limited to, employee management, payroll processing, benefits administration, leave tracking, onboarding, performance management, and document management. The specific features available to you depend on your subscription plan.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

You represent that you have the legal authority to bind your organization to these Terms if you are registering on behalf of a company or entity.

4. Subscription and Payment

RevoluteHR offers various subscription plans, including a free tier. Paid plans are billed on a per-employee, per-month basis unless otherwise agreed. All fees are non-refundable except as required by law or as expressly stated in these Terms.

We reserve the right to modify pricing with at least 30 days' written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Upload or transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or its infrastructure
  • Use the Service to store or transmit data that is unlawful, defamatory, or infringing
  • Reverse engineer, decompile, or disassemble any part of the Service

6. Data Ownership and Usage

You retain all ownership rights to the data you submit to the Service ("Customer Data"). By using the Service, you grant RevoluteHR a limited, non-exclusive license to process your Customer Data solely for the purpose of providing the Service.

RevoluteHR will not sell, share, or use your Customer Data for any purpose other than providing and improving the Service, except as required by law or with your explicit consent.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the use of the Service. This obligation survives the termination of these Terms for a period of three (3) years.

8. Service Availability

RevoluteHR strives to maintain 99.9% uptime but does not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by factors beyond our reasonable control, including internet outages, third-party service failures, or force majeure events.

9. Termination

Either party may terminate these Terms at any time with 30 days' written notice. RevoluteHR may also terminate or suspend your access immediately if you violate these Terms or if required by law.

Upon termination, you may request an export of your Customer Data within 30 days. After this period, RevoluteHR may delete your data in accordance with our data retention policies.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REVOLUTEHR LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICE.

REVOLUTEHR'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO REVOLUTEHR DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless RevoluteHR LLC, its officers, directors, employees, and agents from any claims, losses, or damages arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved exclusively in the state or federal courts located in Texas. Both parties consent to the personal jurisdiction of such courts.

13. Modifications to Terms

RevoluteHR reserves the right to modify these Terms at any time. We will provide notice of material changes by email or through the Service. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
